Who We Are

This website is published by EMBAI LLC, a limited liability company in Boise, Idaho. Emberbase is our product. When this page says "we," it means EMBAI LLC.

What This Site Is For

The site describes Emberbase, states what it costs, and gives you a way to reach us. You are welcome to read it, link to it, and quote from it with attribution.

A few things are not allowed. Do not copy the pages wholesale or present them as your own. Do not use automated tools to scrape, crawl or bulk download the site beyond what an ordinary search engine does. Do not probe, test or try to get around any security on the site or on the systems behind it. Do not use the site to send us anything unlawful, or anything that infringes someone else's rights. And do not use the site in a way that stops it working for other people. If you do any of these, we may block your access, and we reserve whatever other remedies the law gives us.

The Software Is Governed by a Separate Agreement

Nothing on this website is a contract for the software. Using Emberbase requires a written agreement between EMBAI LLC and your organization, which we send you before you commit to anything. If anything on this site and that agreement ever say different things, the signed agreement is the one that counts.

Prices and Descriptions

We keep the prices and the descriptions on this site accurate and current, and we correct them when we find a mistake. Even so, they are information rather than an offer. The price your organization pays, and exactly what is included, is set out in the agreement you sign. If a figure on this site turns out to be wrong, we will honor what the agreement says, not the mistake.

No Guarantees About the Site Itself

We do our best to keep the site available and correct.

The website is provided as is and as available, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non infringement. We do not warrant that the website will be uninterrupted, error free or free of harmful components, or that any information on it is complete or current. To the fullest extent permitted by law, EMBAI LLC and its members will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, revenue or profit, arising from your use of or reliance on the website, even if we have been told such damages are possible. Our total liability for any claim relating to the website will not exceed one hundred United States dollars. Some places do not allow some of these limits, so some may not apply to you.

The commitments that apply to the software are set out in the agreement each center signs.

Our Name and Marks

Emberbase, the Emberbase wordmark, and the name Ember for the assistant belong to EMBAI LLC. You can use them to refer to us accurately. Please do not use them in a way that suggests we endorse something we have not, or that you are us.

Privacy

What the site collects, which is almost nothing, is described on the privacy page. That page is part of these terms.

Changes to These Terms

If we change these terms we will change the date at the bottom of this page. We will not change them in a way that affects your organization's agreement, because that document has its own rules for changes.

Where Disputes Go

These terms are governed by the laws of the State of Idaho. If there is ever a dispute about the website itself, it will be heard in the courts of Idaho. Disputes about the software are handled the way the signed agreement says.

General Terms

If any part of these terms turns out to be unenforceable, the rest still stands, and the unenforceable part is read as narrowly as needed to make it enforceable.

These terms, together with the privacy page, are the whole agreement between you and us about the website. They do not touch any separate agreement your organization has with us about the software.

If we do not enforce a rule on one occasion, that does not mean we have given it up. We can still enforce it later.

You may not transfer your rights or obligations under these terms to anyone else. We may transfer ours to a successor if EMBAI LLC is ever sold or reorganized, and we would say so on this page.

Nothing on the website creates a partnership, employment or agency relationship between you and us.

Headings on this page are for convenience and do not change the meaning of the terms under them.
